1. Acceptance of Terms

By accessing and using cinched, you accept and agree to be bound by the terms and provisions of this agreement.

2. Use License

Permission is granted to temporarily download one copy of cinched for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

  • modify or copy the materials
  • use the materials for any commercial purpose or for any public display (commercial or non-commercial)
  • attempt to decompile or reverse engineer any software contained on cinched's website
  • remove any copyright or other proprietary notations from the materials

3. Disclaimer

The materials on cinched's website are provided on an 'as is' basis. cinched makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

4. Limitations

In no event shall cinched or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on cinched's website, even if cinched or a cinched authorized representative has been notified orally or in writing of the possibility of such damage. Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

5. Accuracy of Materials

The materials appearing on cinched's website could include technical, typographical, or photographic errors. cinched does not warrant that any of the materials on its website are accurate, complete or current. cinched may make changes to the materials contained on its website at any time without notice. However cinched does not make any commitment to update the materials.

6. Links

cinched has not reviewed all of the sites linked to our website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by cinched of the site. Use of any such linked website is at the user's own risk.

7. Modifications

cinched may revise these terms of service for its website at any time without notice. By using this website you are agreeing to be bound by the then current version of these terms of service.

8. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of the State of Delaware. You irrevocably submit to the exclusive jurisdiction of the courts located in Delaware for resolution of any disputes arising under these terms.

9. Seller Accounts

To sell on cinched, you must create a seller account and agree to these additional seller terms. By registering as a seller, you represent that you are at least 16 years of age, legally authorized to sell the items you list, and that all information you provide is accurate and complete. Users between the ages of 16 and 17 may register as sellers only with verifiable parental or guardian consent. By completing registration, users under 18 confirm that they have obtained such consent. cinched reserves the right to request proof of parental consent at any time and to suspend accounts where consent cannot be verified.

10. Buyer Accounts

To purchase on cinched, you must be at least 15 years of age. Users between the ages of 15 and 17 may register as buyers only with verifiable parental or guardian consent. By completing registration, users under 18 confirm that they have obtained such consent. cinched reserves the right to request proof of parental consent at any time and to suspend accounts where consent cannot be verified.

11. Prohibited Content and Conduct

Users of cinched agree not to upload, post, share, transmit, or otherwise make available any content or engage in any conduct that:

  • contains pornographic, sexually explicit, or obscene material of any kind
  • depicts or promotes violence, self-harm, or harm to others
  • constitutes harassment, bullying, intimidation, or hate speech targeting any individual or group based on race, ethnicity, religion, gender, sexual orientation, disability, or any other characteristic
  • infringes on any third party intellectual property, trademark, or copyright
  • involves the sale or promotion of counterfeit, stolen, or fraudulently obtained goods
  • violates any applicable local, state, federal, or international law or regulation
  • involves the impersonation of any person or entity
  • contains malware, viruses, or any other malicious code
  • involves the collection or harvesting of other users' personal information without consent

cinched reserves the right to remove any content that violates these guidelines and to suspend or permanently ban accounts engaged in prohibited conduct without refund of any subscription fees.

12. Seller Subscription

Access to seller features requires a paid subscription at the rates listed on the cinched pricing page at the time of enrollment. Your subscription will automatically renew unless cancelled at least 24 hours before the renewal date. cinched reserves the right to modify subscription pricing with 30 days notice to active subscribers.

13. Listings and Prohibited Items

Sellers are responsible for the accuracy of all listings. By creating a listing you represent that you have the right to sell the item, the item is accurately described, and the item is in the condition stated. The following items are prohibited on cinched: counterfeit or replica goods, stolen property, items that infringe on intellectual property rights, hazardous materials, and any items prohibited by applicable law.

14. Transactions and Payouts

cinched does not take a commission on individual sales. Sellers keep 100% of their sale price. A payment processing fee is charged to buyers at checkout. Payouts are processed via Stripe Connect. Sellers are also bound by Stripe Connect's terms of service. cinched is not responsible for delays caused by Stripe or your financial institution. Sellers are solely responsible for reporting and paying any applicable taxes on their earnings.

15. Shop Subscriptions

Sellers may offer shop subscriptions to their followers. cinched retains a percentage of all shop subscription revenue as listed on the cinched pricing page at the time of enrollment. Sellers are responsible for delivering the content or services they promise to their subscribers. cinched is not liable for disputes between sellers and their subscribers regarding subscription content.

16. Seller Conduct

Sellers agree not to manipulate pricing, engage in fraudulent transactions, harass buyers, provide false information in listings, or use cinched to conduct any illegal activity. cinched reserves the right to suspend or permanently ban any seller account found in violation of these terms without refund of any subscription fees.

17. Disputes Between Buyers and Sellers

cinched is a platform and is not a party to transactions between buyers and sellers. In the event of a dispute, cinched may at its discretion facilitate communication between parties but is not obligated to resolve disputes or provide refunds. Sellers are encouraged to resolve disputes in good faith directly with buyers.

18. Intellectual Property of User Content

By uploading photos, outfit cards, or any other content to cinched, you grant cinched a non-exclusive, royalty-free, worldwide license to display and promote that content on the platform and in marketing materials. You retain ownership of your content. You represent that you have the right to upload any content you post and that it does not infringe on any third party rights.

19. Limitation of Liability

To the maximum extent permitted by law, cinched shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the platform, including but not limited to loss of revenue, loss of data, or failure of any transaction. cinched's total liability to any seller shall not exceed the total subscription fees paid by that seller in the three months preceding the claim.

20. Indemnification

You agree to indemnify and hold cinched, its founders, employees, and agents harmless from any claims, damages, losses, or expenses including reasonable legal fees arising out of your use of the platform, your listings, your transactions, or your violation of these terms.

21. Termination

cinched reserves the right to terminate or suspend any account at any time for violation of these terms. Upon termination, your right to use the platform ceases immediately. Subscription fees are non-refundable upon termination for cause.
